Transactions are the building blocks of the share register in Centi. Every time securities change hands — whether newly issued to an investor or transferred between existing shareholders — you record that movement as a transaction. Centi supports two core transaction types: New Issue, which creates new securities and increases the total outstanding units in a program, and Transfer, which moves existing securities from one party to another. Once registered, transactions are reflected in the cap table and the share register automatically. Transactions where a stakeholder is involved should be registered under the program the stakeholder should be a part of. If you want to register a transaction between two company entities this is done on the Company page holding the involved securities.

Configure the transaction

1. Select the transaction type

Choose New Issue or Transfer depending on how the securities are moving.

2. Select parties

Use the dropdown to select the buyer who will receive the securities. The dropdown lists all previous participants in the program. To add someone new, select Add new buyer. For Transfer transactions, you also select the seller — the existing shareholder transferring their securities.

3. Enter transaction details

Complete the core transaction fields:
  • Number of units — the quantity of shares or warrants being issued or transferred
  • Price per unit — the cost per share or warrant in the transaction currency (Centi calculates the total value automatically)
  • Registration date — the historical date when the transaction occurred
The registration date field only becomes available after you have completed the securities information. Transactions must be registered in chronological order. If the transaction you need to register predates any existing registered transaction, contact operations@gocenti.com for assistance.

4. Attach documentation

Upload supporting documents such as accession agreements or contract notes by clicking Attach files or dragging and dropping files into the upload area. After uploading, select the appropriate document type from the dropdown for each file to categorise the attachment correctly.
Attached files are visible to the buyer.

5. Add pledge and comment

Review the pre-filled pledge for accuracy and edit it if necessary. Add any comments you want recorded in the share register.

6. Register the transaction

Review all entered information, then click Register transaction. The transaction appears immediately under Transactions.

Export transactions

To export a record of all transactions for a program, open the Transactions tab within the program and use the export option. The export includes transaction type, parties, units, price per unit, total value, registration date, and any attached document references.
Transactions must be registered in chronological order. Centi enforces this requirement because each transaction builds on the unit ranges established by earlier transactions. If you discover a missing historical transaction that predates existing registered transactions, you can not register it directly — contact operations@gocenti.com so the operations team can assist.
